Introduced in 2018, the VAT system in the UAE requires businesses to register, collect, and pay taxes to the Federal Tax Authority (FTA), the regulatory body that oversees and handles taxation in the UAE. Usually, businesses register individually for VAT, but companies with multiple related businesses can opt for VAT Group Registration UAE to make their tax procedures simpler.

Under the VAT group registration, two or more companies operating under the same ownership can register as a single entity with the FTA. This makes VAT reporting and payments easier, as the transactions between these entities are not taxed.

VAT group registration UAE: Explained

Under the UAE VAT law, multiple entities with shared ownership or control can opt for group registration and register as a single taxable entity. This means they can fulfil their tax purposes as one unit rather than handling their VAT separately. This simplifies VAT compliance, reduces paperwork, and avoids unnecessary tax liabilities between group members.

Articles 9 & 10 of Cabinet Decision No. (52) of 2017 on the executive regulations of the Federal Decree-Law No. (8) of 2017 on VAT outlines the rules and requirements of VAT group registration UAE.

Benefits of VAT group registration UAE

The Group VAT registration benefits are as follows:-

  • Simplified VAT Compliance – By forming a VAT group, the business owner can submit a single consolidated VAT return, rather than filing separately for multiple entities. This saves them time and reduces paperwork, ensuring better tax management.
  • No VAT on Intra-Group Transactions - VAT is not charged on transactions between the members of the VAT group. This simplifies internal billing, thereby improving cash flow.
  • Cost Savings on VAT-Related Expenses – Businesses in the UAE tend to save more money with reduced VAT filings and transaction costs.
  • Improved Cash Flow Management – VAT group helps businesses, especially those dealing with high volumes of transactions, save money from unnecessary payments, thereby ensuring better cash flow management.
  • Centralized VAT Management – In a VAT group, the representative member manages VAT-related responsibilities, ensuring better control and tax compliance.
  • Stronger Tax Position and Compliance – By forming a VAT group, businesses consolidate VAT compliance, which reduces the risk of individual VAT errors and ensures fulfillment of regulatory requirements in an organized manner. This eventually results in fewer chances of audits or compliance issues.
  • Inclusion of Exempt Supplies: Companies dealing in VAT-exempt supplies can be a part of the VAT group and improve VAT recovery as a whole.
  • Enhanced Cash Flow Management: VAT liabilities can be neutralized against VAT credits within the group, resulting in quicker VAT refunds and improved cash flow.
  • Administrative Efficiency: The centralized management of the VAT group ensures additional efficiency by reducing additional efforts and time used by individual entities.

VAT group registration UAE: Requirements for forming a VAT group

The FTA considers the following factors for businesses wanting to form a VAT group:-

  • Common Control - One member must have direct or indirect control over all the other members within the group in terms of ownership structure, voting rights, or decision-making authority.
  • Shared Ownership Structure - At least half of the ownership (50%) should be common among the group members.
  • Active Business Operations – Group members must be engaged in ongoing taxable business activities.
  • Same VAT Accounting Period – The VAT return filing schedule must be the same for all entities in the VAT group to avoid complications in tax compliance.

Eligibility to form a VAT group in the UAE

The members of the VAT tax group must fulfil the following criteria list -

  • Business Activity: Each member of the VAT group must actively carry out business activity and operate independently in the UAE.
  • Legal Status: The members of the group must be legal entities such as companies, government entities, etc.
  • UAE Residency: Each group member must either have a primary establishment (where key management decisions are made) or a fixed business establishment (where the human and technical resources exist to run a business) in the UAE.
  • Related Parties & Control: All the members of the group must be connected, either economically, financially, or organizationally, to prove common control.

Registering for VAT group registration UAE

The VAT group registration process is managed by the FTA, which ensures that businesses meet the eligibility criteria. Here is a step-by-step process to register a VAT group –

1. Ensure Eligibility

Before starting with the application, businesses must confirm their eligibility for VAT Group Registration UAE. The criteria are as follows:

  • Possess a valid UAE trade license.
  • Vat-registered or eligible for VAT registration.
  • Active business operations with taxable supplies in the UAE.
  • No history of VAT non-compliance or violations.

2. Register for an FTA e-Services Account

Businesses that are not registered for VAT must first complete their individual VAT registration. The process is:-

  • Visit the FTA’s e-Services portal and create an account using your credentials.
  • Once you are logged in, complete the standard VAT registration.
  • Once the registration is complete, you will receive a Tax Registration Number (TRN).
  • Apply for VAT Group Registration.

3. Initiate the VAT Group Registration Application

  • Log in to the e-Services Portal using the credentials of the representative member of the group.
  • Navigate to the registration section and click on “New VAT Group Registration.”
  • Go through the instructions carefully and proceed with the application.

4. Provide Business and Ownership Details

The representative member must provide detailed information about the members of the VAT Group.

  • Representative Member, who will submit VAT returns and payments on behalf of the group.
  • Tax Registration Number (TRN) of each entity in the group.
  • Description of how the businesses are related.
  • Details on the nature of the operations and taxable supplies of the businesses.

Choosing a representative member must be a thoughtful decision taken by the group members, as the selected member will be legally responsible for VAT compliance, VAT return filing, and VAT payments.

5. Upload the Required Documents

Submit the necessary documents in PDF or JPG format to support the application. Make sure these documents are accurate and valid.

6. Submit the Application

Carefully review all the submitted details and documents to ensure accuracy and check if all the information is correctly entered.

7. Review and Approval by the FTA

Once submitted, the FTA will review the application and verify the following:

  • The legal and financial relationships between group members.
  • The eligibility of the businesses for VAT group registration UAE.
  • Tax compliance history of all group members.

Once the FTA approves the application, it will assign a single VAT Group Tax Registration Number (TRN) to the VAT Group. However, if they aren’t convinced and reject the application, they will send an email to the group members explaining the reasons for rejection and suggesting corrective measures.

8. Receive VAT Group Registration Certificate

Post approval, the VAT group will receive a VAT Group Registration Certificate with the following information:

  • The VAT Group TRN
  • Details of all entities in the group
  • Date of VAT Group Registration

After receiving this certificate, the representative member must submit a consolidated VAT return for all members.

Cancellation of VAT group registration UAE

The following scenarios can lead to VAT tax group registration cancellation in the UAE:

  • If the businesses no longer align with the conditions of the VAT Law and its Executive Regulations. For example, financial connections, geographical proximity, etc.
  • If the tax group structure is suspected of being used to avoid or reduce VAT liability.
  • If one or more members of the tax group request to be removed, and the remaining members no longer meet the eligibility criteria.
